Education and Knowledge

1. Bachelor’s degree in Law.
2. High degree of understanding on power plant operation and maintenance agreements especially on legality aspects.
3. Mastery level of legal knowledge in relation to power generation industry.
4. Vast experience on overall legal areas and ability to provide legal advisory and solution.
5. Ability to effectively communicate and negotiate with related parties on legal scope.

Requirements

• Malaysian citizenship
• Required language(s): Bahasa Malaysia and English.
• This position is only open for external candidates who are not currently employed by TNB or any of its subsidiary.
• Must possess excellent relationship skills and demonstrated ability to interact effectively with individuals at all levels of the organization.
• Must be able to understand business objectives and develop coordinated communications plans and/or initiatives to support those objectives.
• Must be an energetic self-starter who possesses leadership, problem-solving, decision-making, interpersonal, organizational, analytical, and negotiation skills.
• Strong problem solving, planning, and organizational skills along with an attention to detail.
• Must have strong oral and written communication skills.
• Requires a minimum of 8 years of legal experience, with at least three (3) years in legal advisory role.
• Possesses a deep understanding of contract management, with a focus on drafting, negotiating, and administering various contracts relevant to plant operation and maintenance activities.
• Demonstrated ability to effectively communicate and influence top management and board members on complex legal matters.
• Requires a minimum of 8 years of legal experience, with at least three (3) years in legal advisory role.
• Possesses a deep understanding of contract management, with a focus on drafting, negotiating, and administering various contracts relevant to plant operation and maintenance activities.
• Demonstrated ability to effectively communicate and influence top management and board members on complex legal matters

Accountability & Responsibility

1. Execute approved departmental KPIs, ensuring strategic alignment and fostering a culture of continuous improvement.
2. Implement, and regularly review the Annual Operating Plan, taking corrective action as needed to ensure alignment with strategic objectives and optimal performance.
3. Optimize service delivery by effectively prioritizing and managing legal assignments and requests.
4. Provide strategic legal counsel, training, and awareness to TNB Genco management by actively participating in relevant internal committees and task forces.
5. Prepare draft and negotiating all legal documents on legal matters in TNB Genco including all legal document related to pre-bidding or pre-mergers and acquisitions of projects (e.g Non-Disclosure Agreements, Memorandum of understanding; Expression of Interest, Collaboration Agreement).
6. Prepare and review documents relating to project development documentation for bidding requirements either international or local projects, bidding or direct award, brownfield or greenfield for all types of power plant (gas fired, coal-fired, renewable energy (solar, floating, hydro, biomass) including life extension projects (LEP).
7. Build and maintain strategic partnerships with internal and external stakeholders, including government agencies, to advance TNB Genco's objectives.
8. Negotiate and conduct syndication in project kick off meetings /follow up meetings, conference calls with project team or internal department such as compliance and risk management department and preparing the legal issues checklist according to timeline.
9. Conducting legal due diligence and preparing TIRA report/ Conducting pre-bid legal due diligence exercise or desktop due diligence for all mergers and acquisitions projects under the Business unit.
10. Review of articles of associations, term sheets, mandate letters of advisors and/or provide response to documentation to be filed at the respective authorities located abroad in relation to international projects.
11. Vetting engagement letters and preparing legal sign offs for engagement letters for all mergers and acquisitions projects under the Business unit.
12. Draft and negotiate all agreements including supplementary agreements or amendments of the project documents & operation maintenance agreements (inclusive Board Papers).
13. Monitor debt covenants for domestic projects and implement policies as advised.
14. Attend to all pre-litigation matters of all domestic projects (Pre –notice of demand, notice for DAB or arbitration or mediation).
15. Select and appoint legal counsel for the pre-bidding exercise / during project development / during project execution as and when required.
16. Provide expert legal counsel on governance, compliance, and procurement matters to ensure adherence to policies and procedures, thereby maximizing value for TNB Genco.
17. Represent Genco Legal Services in any legal community / association locally and internationally and provide necessary legal views when required.
18. Manage and maintain elements of Genco Integrated Management System (ISO 14001, ISO 45001, ISO 55001, ISO 37001, ISO 9001) and other management system standards based on roles and functions as and when required to meet the ISO standard requirements.
