Accountability & Responsibility
1) Draft, review, and negotiate legal documents for various corporate transactions including M&A, JV, corporate restructuring comprising Binding Offer, Joint Venture Agreements, Consortium Agreements, Share Purchase Agreements, Shareholders’ Agreements, Subscription Agreements, Call Option Agreements, and other renewables energy project-related agreements.
2) For the purpose of drafting and reviewing the agreement:-
- Understand and analyse issues;
- Conduct research on the issues;
- Attend meetings with business units and relevant stakeholders to understand the requirements of the
- business units
- Advise, draft and comment on the agreement;
- Discuss comments with immediate managers;
- Negotiate, when required, the comments or the draft agreement with the counterparty and amend accordingly;
- Check agreement and proceed with legal sign-off.
3) Advise and prepare legal opinions on domestic and cross-border corporate transactions that relate to mergers and acquisitions, EV charging stations, renewable energy, and energy project arrangements, incorporation of the company, BURSA announcement/requirements after discussing the solution with immediate manager.
4) For the purpose of providing legal opinion:
- Understand and analyse the issues;
- Conduct research on the issues;
- Attend meetings with business units and relevant stakeholders to understand the requirements of the business units
- Prepare legal opinion and discuss with management.
5) Conduct legal due diligence exercise, provide high level review of relevant transaction documents, and prepare risk assessment report.
6) Liaise and conduct syndication in project kick-off meetings/follow-up meetings, with the project team, relevant department/division, Dedicated Legal Officers (DLO) in business units, and panel lawyers in relation to legal documents related to transactions.
7) Collaborate with internal and external stakeholders to ensure legal compliance and risk mitigation in all transactions.
8) Manage and oversee the legal aspects of transactions to ensure smooth execution.
9) Develop and implement legal strategies to support business objectives in diverse transactions.
10) Stay updated on laws, regulations, and industry trends to offer proactive legal guidance and support to relevant business units.
11) Participate in cross-functional teams to support strategic initiatives.
12) Assist in preparing and reviewing materials on related legal matters for the purpose of presentation to Head (Legal Services), TNB management, relevant TNB committees, and Board of Directors.
13) Review engagement letters or appointment agreements of specialized consultants and advisors, and prepare sign offs.

- Bachelor of Laws (LL.B)

At least 5 years of working experience in corporate and commercial law
