Title
Legal Counsel (Subsidiaries)
Reporting To
Senior Manager (Internal Subsidiaries)
Accountability & Responsibility
- Serve as the primary legal advisor to designated TNB subsidiaries without dedicated legal officer
- Manage and deliver end-to-end legal support by proactively identifying legal issues, performing thorough legal research and risk analysis, and leading the drafting, reviewing, vetting and negotiation of agreements in alignment with TNB subsidiaries’ business objectives
- Oversee and issue advisory opinions on legal matters and develop strategies to minimize legal exposure for relevant TNB subsidiaries
- Lead and manage the legal sign-off process, ensuring all agreements are legally valid, properly structured and in compliance with applicable laws, regulations and prevailing internal policies
- Draft, review and negotiate a broad spectrum of agreements including but not limited to Supply Agreement for Renewable Energy, Memorandum Of Understanding, Non-Disclosure Agreement, collaboration agreements, commercial contracts and other customized agreement in relation to TNB Subsidiaries’ businesses
- Provide strategic legal input on board papers, internal policies and governance matters across subsidiaries to ensure regulatory compliance and alignment with TNB Subsidiaries’ objectives
- Provide legal advisory and strengthen legal risk management frameworks to safeguard TNB Subsidiaries’ interests
- Manage and coordinate pre-litigation matters, liaising with external counsel where necessary to ensure timely resolution and protection of TNB Subsidiaries’ interests
- Engage with management and operational teams to anticipate legal risks, contribute to strategic decision-making, and deliver practical, solution-driven legal guidance
- Design and roll out targeted legal awareness initiatives across subsidiaries to enhance compliance, mitigate risk and embed best legal practices into daily operations of TNB subsidiaries
- Provide support to Senior Legal Counsel (Subsidiaries) on operational task, including complex and high-impact legal matters, ensuring timely, accurate, and strategic legal input

Competencies
Education
- Bachelor of Laws (LL.B) from a recognised university
- Admission to the Malaysian Bar (or equivalent qualification recognised in Malaysia) is an added advantage
Preferred:
- Postgraduate qualification in Law, Corporate Law, Energy Law or related disciplines
- Professional certifications in corporate governance, compliance, risk management or regulatory affairs
Experience Requirements
- Minimum 5 years of post-qualification experience in corporate and/ or commercial legal practice (in-house or reputable legal firm)
- Demonstrated experience in drafting, reviewing and negotiating commercial agreements and providing legal advisory support in a corporate environment.
- Experience in handling regulatory compliance matters and managing legal risks in operational settings.
- Exposure to pre-litigation matters and coordination with external solicitors.
- At least 1 year of leadership or supervisory experience, including mentoring junior team members or leading legal initiatives.
- Experience supporting Board-level documentation and governance matters is an added advantage.
- Experience in utilities, infrastructure, energy, government-linked companies (GLCs) or regulated industries will be highly regarded
- Experience or a strong interest in renewable energy and smart energy solutions including solar PV projects, Renewable Energy Certificates (REC), energy efficiency initiatives and smart building technologies will be an added advantage
